PARIS, Sept 30 (AFP) - Air France and KLM announced a takeover deal Tuesday. Following are the main points of the deal which will create Europe's largest airline and the third biggest in the world:

- The new airline will be called Air France-KLM. Each company will maintain its brands, hubs and networks, which include Charles de Gaulle airport in Paris and Schiphol airport in Amsterdam, along with regional airlines City Jet and KLM cityhopper, and budget and holiday airlines Basiq Air, BritAir and Transavia.

- The share-swap deal values KLM at 784 million euros (911 million dollars). The indicative value of the offer puts each KLM share at 16.74 euros.

- It will create a company with 19.2 billion euros (22.4 billion dollars) in annual turnover. Air France had 12.7 billion euros in sales last year, while KLM had 6.5 billion euros in turnover.

- Each firm will maintain separate listings on the stock exchange.

- Combined, the two airlines serve 226 destinations worldwide, operate a fleet of 543 passenger and cargo aircraft and employ 106,000 people. They make 2,400 flights every day.

- The airlines flew 62.3 million passengers last year. Air France is the world's third-largest carrier in terms in international passenger transportation, while KLM ranks fourth. KLM had a load factor of 79.4 percent last year, Air France 76.2 percent.

- KLM and its Flying Dutchman program will join the SkyTeam code-sharing alliance, making the frequent flyer program which currently encompasses Aeromexico, Alitalia, CSA Czech Airlines, Delta Airlines and Korean Air the world's second-largest after rival Star Alliance, grouping United and Lufthansa, among other carriers. Italian national carrier Alitalia also aims to join the new group following its own privatisation.

- Air France-KLM will focus on three core businesses: passengers, which make up 77 percent of aggregate revenues, cargo (14 percent) and maintenance (four percent). Separately, Air France, Alitalia and KLM have signed a deal that will pave the way towards merging their cargo operations.

- The deal means the de facto privatisation of Air France, controlled to 54 percent by the French state. The state's share in the flag carrier will drop to 44 percent. The Dutch government controls 14 percent of KLM.

- The new chairman and CEO of Air France-KLM will be Jean-Cyril Spinetta, current chairman and CEO of Air France. KLM chief Leo van Wijk will be vice chairman of the board.

- The timetable for the deal foresees the signing of the final transaction agreement on October 15. The company also expects to seek approval this month from the European Commission and the US Department of Justice. In March 2004 the exchange offer is to be launched, with the closing of the deal expected in the first half of April 2004 following extraordinary general meetings by Air France and KLM shareholders.

Air France and KLM merger expected

Air France and the Dutch national carrier KLM are set to create an alliance, which would create the biggest force in the European airline industry.

The deal, to be announced on Tuesday, will probably take the form of joint management and cross-shareholdings, with a full merger a more distant prospect, the BBC said.

The combination of the two carriers would create a powerful international network around two hub airports: Paris Charles de Gaulle and Amsterdam Schiphol, the FT said.

KLM has twice come close to deals with other airlines - Alitalia and British Airways.

It is thought that under the proposed deal, KLM and Air France would be placed under a common holding company, with Air France shareholders holding 80% of the new firm.

Alitalia, the Italian carrier, has not been included in the negotiations, but is keen to be part of any merged airline at a later date.

I read your article tsh and what kept coming to mind was, the Apostasy. The great falling away. Because what we would be falling away from would be truth. If we mix all these religions together than we have compromised and fallen away from God's truth. There is only one way to the Father and that is through Jesus Christ. If we mingle in other ways then we no longer have truth and have fallen away.

Anyway that is what it brought to my mind.... How about you????

Yes, rafter, I agree. I also see mankind just trying to take more and more things and "throw" them together. It's much like Babylon and it's tower. Somebody wants it bigger and better. It works "for man" better according to his way, if he puts it all together and makes it bigger. Or so he thinks, he's going to get ALL he wants, and THEN SOME!
